INSPECTORX SOFTWARE SUBSCRIPTION AGREEMENT

This Software Subscription Agreement (“Agreement”) is made between InspectorX LLC (“Company” or “InspectionX”) and you, the subscriber (“Subscriber” or “User”), collectively referred to as the “Parties.” By subscribing to or using the InspectorX solution, you acknowledge that you have read, understood, and agree to be bound by all terms herein. If you do not fully understand these terms, please consult an attorney before proceeding.


1.INTELLECTUAL PROPERTY RIGHTS

1.1 Ownership of Software & Technology: All aspects of the InspectorX software—including source code, architecture, algorithms, AI models, documentation, training data, and workflows—remain the sole property of the Company. No rights, title or interest are transferred to Subscriber.


1.2 Ownership of Generated Reports & Content: All inspection report comments, defect descriptions, templates, and outputs generated by the software—whether from your voice/text input or AI processing—are the Company’s intellectual property. Subscriber has only a limited, revocable, non-exclusive right to use them for active subscription inspections.

1.3 AI Learning, Subscriber Contributions & Proprietary Methods: The Company retains all rights to any improvements or learnings derived from Subscriber’s use of the software—including voice-to-text transformations, pattern recognition, terminology refinements and efficiency models—and Subscriber hereby waives any claim to ownership of such learnings. By uploading or sharing inspection templates, comments, phraseology or other materials into the InspectorX platform or AI system, Subscriber grants the Company a perpetual, royalty-free, worldwide, transferable license to use, reproduce, modify and incorporate those materials into its software, AI models, data libraries and output-generation processes; acknowledges that these contributions may be used to generate new comments, improve and retrain the AI, and may be made available to other subscribers as part of a shared content pool; and waives any intellectual property claims to any system outputs or model enhancements derived therefrom. All methodologies, processes, workflows and enhancements—whether developed by the Company, its contractors or via Subscriber interaction—are and remain the exclusive property of the Company.

1.4 Restrictions on Copying & Reverse-Engineering: Subscriber may not copy, modify, reproduce, distribute or sublicense any AI-generated content or system output beyond its authorized use; reverse-engineer, decompile, disassemble or otherwise attempt to derive the source code, underlying algorithms, data structures or trade secrets of InspectorX; nor claim, register or assert any trademarks, patents, copyrights or other proprietary rights in whole or in part with respect to the Software, its components or any content generated by it.

1.5 Termination & Retention of IP Rights: Upon subscription termination, Subscriber must cease all use of the software and its outputs. No perpetual rights to reuse content are granted after cancellation.


2.SERVICE TERMS & PERFORMANCE

2.1 Software Scope & Limitations: The Software provides automated assistance for home‐inspection report generation via voice and text input but is delivered “as-is” and does not guarantee error-free, complete, or legally binding reports. AI-generated content may omit, alter, or misstate information—potentially impacting livability or creating professional liability if defects are not accurately described. Accuracy depends on the quality of user-supplied templates and commands, and the models require ongoing tuning. Subscriber is solely responsible for reviewing, revising, and approving all content before delivering any report; under no circumstances shall the Company be liable for any loss, damage, or claim arising from omitted or incorrect language, including—but not limited to—issues of livability or professional negligence.


2.2 No Performance Guarantee: The Company makes no warranty of uninterrupted service, complete defect detection, or compliance with local, state, or federal inspection standards. This tool is intended only to support and expedite the inspector’s workflow—it does not replace the inspector’s professional judgment or final approval of every report.


2.3 Service Updates & Modifications: The Company may update, modify, discontinue, or replace features at its sole discretion and will not be liable for any consequences of such changes. Subscribers remain responsible for ensuring that the Software continues to meet their needs and for verifying content following any update.


3: FEES, PAYMENT & CANCELLATION: Fees will be agreed at the time of billing based on current package values offered, and InspectorX reserves the right to revise pricing annually; payment may be made by credit card, ACH, or bank transfer, and late payments may incur additional fees and could result in service suspension; subscribers may cancel at any time with sixty days’ written notice; and reactivation may require payment of a reconnection/setup fee.


4.LIMITATION OF LIABILITY & DISCLAIMER: Company liability is limited at the annual subscription fees paid and the Company is not liable for unreported property defects, third-party claims, or any special, consequential, or indirect damages; claims must be reported within ten days of discovery and any legal action must be commenced within one year of the disputed report date; all disputes shall be resolved by binding arbitration, which, if the Subscriber (or their spouse) is an attorney, is mandatory and final, with no right to appeal.

5.DISPUTE RESOLUTION: All disputes shall be resolved by binding arbitration—if the Subscriber (or their spouse) is an attorney, arbitration is mandatory and final with no right of appeal—and any Subscriber who initiates a claim but does not prevail must reimburse the Company for all legal fees and costs.

6.ELECTRONIC ACCEPTANCE: Subscriber accepts this Agreement by subscribing, clicking “I Agree,” using the Software, or submitting payment. A paper-signed copy may be requested but is not required.

7.SEVERABILITY & ENTIRE AGREEMENT If any provision is unenforceable, the rest remain in effect. This is the complete Agreement; modifications require written consent from both Parties.

8.TIME IS OF THE ESSENCE: Timely payments, notices, and dispute filings are critical and strictly enforced.

9.DATA PRIVACY & SECURITY:


9.1 Data Collection & Use. Subscriber consents to the capture, transmission, storage and processing of audio recordings, images, metadata and other inspection-related data (collectively, “Inspection Data”) via the Software and Mobile App. Inspection Data may be used to generate reports, improve AI models, and for analytics.


9.2 Ownership & License. Subscriber retains ownership of all underlying Inspection Data. By using the Software, Subscriber grants the Company a perpetual, royalty-free, worldwide license to use, reproduce, modify and analyze Inspection Data solely for purposes of providing, improving and maintaining the Software and AI models.


9.3 Security & Retention. The Company will employ industry-standard administrative, technical and physical safeguards to protect Inspection Data in transit and at rest. Inspection Data will be retained for as long as necessary to provide the service, comply with legal obligations, or as otherwise agreed.


9.4 Compliance. The Company will process Inspection Data in accordance with applicable data-protection laws (e.g., CCPA, GDPR) and its published Privacy Policy.


10.MOBILE APP LICENSE & USAGE


10.1 App License. Subject to this Agreement, Subscriber is granted a non-exclusive, non-transferable license to install and use the InspectorX Mobile App on supported iOS or Android devices solely for its own inspections.


10.2 Permissions & Connectivity. The Mobile App requires access to your device’s microphone, camera, storage and network. Subscriber is responsible for obtaining and maintaining any third-party consents and for all data charges.


10.3 Updates & Maintenance. The Company may automatically push updates or patches to the Mobile App. Continued use of the App may require acceptance of such updates.


10.4 Device Compatibility. Subscriber is responsible for ensuring their device meets the minimum technical requirements; the Company is not liable for performance issues caused by outdated or unsupported hardware or operating systems.
